This Seller Agreement ("Agreement") is between you and THE NEST, managed by AH and applies when you open or use a seller account on THE NEST. It adds to our Terms & Conditions, our Privacy Policy and our Shipping, Cancellation and Returns & Refunds policies. If this Agreement and the Terms & Conditions differ about selling, this Agreement applies to that point.
In plain words
- You sell as an independent business or individual. You are responsible for your products, your listings, your orders, your taxes, and the licences or registrations the law requires for what you sell.
- Sellers can be individuals or registered businesses. We may ask for proof at any time and can limit, hold payouts, or close accounts that cannot show it.
- You must list honestly, ship on time, tell the truth about shipping status, and follow our returns and refunds rules.
- We charge the plan fees and commission that are published. Commission is calculated on the price of the goods after discounts. Delivery fees are not commissioned.
- Bank transfer and Raast orders are paid to you after the order is delivered and the dispute period has ended. For cash on delivery, you owe us the commission, and we may take it from your payouts.
- We may hold or deduct money where there is a refund, a dispute, a suspected fraud, or an amount you owe.
- Buyer details may be used only to complete the order. Do not take sales outside the platform to avoid fees.
This summary is only to help you understand the document. The full text below is what applies.
1. About this Agreement
You accept this Agreement when you tick the box to accept it during seller registration, or, if no box is shown, when you open, activate or first use a seller account, whichever happens first. If you act for a business, you confirm that you are allowed to bind it.
- Seller account and Store
- Your account for selling on the Platform and the store page that shows your Listings.
- Seller Content
- Everything you upload or write for your Store and Listings, including names, descriptions, photos, videos, prices and policies.
- Fees
- Plan fees, commission, service charges and other charges set out in section 8.
- Payout
- An amount we pay to you after deducting Fees and any other amounts permitted by this Agreement.
Other words in capital letters, such as Buyer, Order, Listing and Platform, have the meaning they have in our Terms & Conditions.
2. Becoming a Seller
- Eligibility. You must be at least 18 years old and legally able to make a binding contract. You may open one seller account unless we agree otherwise.
- Seller type. You must say honestly whether you sell as an individual or as a registered business such as a partnership or a company. An individual can sell on the Platform. Some products and categories need a licence, registration or certificate, and sellers of those products must show it.
- Your declaration. You confirm everything in the declaration in section 8 of our Terms & Conditions ("Individual Sellers and business registration"), and you repeat it each time you add or change information we rely on.
- Information and documents. You must give true and complete information about you, your Store, your address and your bank account, and keep it up to date. We may ask for a national identity card, business registration, a tax number, licences, product certificates, brand authorisation letters, and proof of address or bank account, now and at any time later.
- Bank account. Payouts are made only to a bank account or Raast ID that is in your own name, or in the name of your registered business, and that we have verified.
- Our approval. We may approve, refuse, limit or delay any seller account. Our approval is not legal approval of you, your business or your goods.
- Limits until verified. Until you are fully verified, we may limit the number of Listings, the value of Orders, the categories you can sell in, the use of cash on delivery, and how soon you receive Payouts.
3. Our relationship
- You are an independent seller. You are not our employee, partner or agent, and you cannot make promises or contracts for us.
- The sale contract for each Order is between you and the Buyer. You are responsible for your goods, your Listings, your prices, your stock and your service to Buyers.
- For orders paid by bank transfer or Raast, we receive the payment from the Buyer and hold it for you until we pay it out under section 9. In doing this, we act only as a limited collection agent for you, and our responsibility is only the one set out in this Agreement.
- We may also provide delivery, support and dispute services. Those services are described in the Platform and in our policies.
- You do not have to sell only on the Platform, but you must follow the rule in section 13 about staying on the Platform for Orders that begin here.
4. Your Store and Listings
- Accuracy. Titles, descriptions, photos, prices, sizes, colours, warranty details, condition, stock, delivery time and delivery cost must be true and not misleading. Describe used, refurbished or imported goods honestly.
- Rights. You must own or have the right to use all Seller Content, and you must have the right to sell every product, including brand authorisation where needed.
- Categories. Put each product in the right category. We may move or remove Listings that are in the wrong category.
- Restricted and prohibited goods. You must not list prohibited items under section 10 of our Terms & Conditions. Restricted goods may be listed only with the licence or certificate that the law requires.
- Plan limits. The number of products you can list depends on your plan. We may change plan limits with notice as set out in section 19.
- AI tools. If you use our AI tools to create or improve a Listing, you must check the result. You remain fully responsible for the Listing, and you must correct anything that is inaccurate.
- Wholesale. Wholesale Listings must show true minimum order quantities, price bands, packing details, weight and delivery terms. Buyers of wholesale goods may be limited to approved buyers or other groups that you or we choose, and wholesale Orders may need payment in advance.
- Our right to act. We may review, edit, hide or remove a Listing, and limit its visibility, if it breaks this Agreement or the law, or if we receive a valid complaint.
5. Orders and fulfilment
- Released orders. You can work on an Order only after it is released to you. Cash on delivery Orders are released when they are confirmed. Bank transfer and Raast Orders are released after we confirm the Buyer's payment. You cannot act on cancelled Orders.
- Steps. Accept the Order, ship it, and mark it as delivered when it is delivered. Do each step promptly and within the times you have stated on your Listings.
- True status. Mark an Order as shipped only when you have really handed it to the courier or the delivery person, and as delivered only when it has really been delivered. Do not mark steps early. A false status is a serious breach.
- Tracking details. Give correct courier and tracking details when you have them, and a realistic estimated delivery date.
- Packing. Pack goods safely and as described, include what was ordered, and include a receipt or invoice if the law or the Order requires it.
- No cancelling or refunding by yourself. You cannot cancel an Order or refund a Buyer through the Platform yourself. If you cannot fulfil an Order, or you notice a problem such as a wrong address or a suspected fraud, report it to us straight away. We will decide what happens, so that payments, commission and stock are handled correctly.
- Orders with several Sellers. You are responsible only for your own part of an Order. Delivery and status are tracked separately for each Seller.
- Failed delivery. If delivery fails because of the Buyer, the Order is handled as set out in our Shipping Policy.
6. Delivery
- You choose your delivery options and charges in your delivery settings, within the rules and limits that the Platform shows. Delivery charges shown to Buyers are worked out from those settings and from the delivery services available.
- Where delivery is carried out through us or through a courier we arrange, the delivery charges and conditions shown at the time of the Order apply, and we may deduct from your Payout any delivery cost that is your responsibility under your settings.
- You remain responsible for goods that are lost, damaged or delayed while they are in your care or in the care of a courier you chose, until they are delivered to the Buyer, unless our policies say otherwise.
- You must keep proof of dispatch and delivery, and give it to us when we ask.
7. Payments and cash on delivery
- Bank transfer and Raast Orders. The Buyer pays us. We confirm the payment before the Order is released to you. We then pay you under section 9, after deducting Fees and any other amounts permitted by this Agreement.
- Cash on delivery Orders. The cash is collected on delivery. The commission and Fees for the Order are recorded as an amount you owe us. You must pay it when it is due, as shown in your seller account, and we may deduct it from your other Payouts or from any balance you have with us.
- Payments outside the Platform. You must not ask a Buyer to pay you by any method outside the Platform for an Order that began on the Platform, and you must not give out bank or wallet details in order to take payment outside it.
- Refunds and reversals. If a Buyer is entitled to a refund under our policies or the law, we may refund the Buyer, and you must bear the refund where the cause is yours, for example a wrong, damaged, defective, counterfeit or not-as-described item, or a failure to deliver. We may deduct the refund and related costs from your Payouts, or invoice you for them.
- Suspected fraud. We may refuse, hold or reverse a payment, or an Order, where we reasonably suspect fraud, money laundering or another unlawful use. We may share information with banks and the authorities as the law allows or requires.
8. Fees, commission and taxes
- What you pay. You pay the plan fees, commission and other charges that are published on the Seller Pricing and Fees page or shown in your seller account at the time of the sale. Commission rates can differ by category, by the type of sale (retail or wholesale) and by plan, including a rate for sellers who do not have a paid plan.
- How commission is calculated. Commission is calculated on the price of the goods after discounts. Delivery fees are not subject to commission.
- Statements. We show your Orders, Fees, deductions and Payouts in your seller account. Please check them promptly and tell us about any mistake. We will correct errors we find, and we may recover amounts paid by mistake.
- Taxes. Fees may be shown with or without tax, as stated. You are responsible for your own taxes and registrations, including taxes on your sales. Where the law requires, we may collect, withhold or report taxes, and give information to the tax authorities. Any tax we withhold reduces your Payout.
- Changes. We may change Fees, as set out in section 19.
9. Payouts, holds and set-off
- When we pay. We pay a Payout for an Order after it has been delivered and any return, refund or dispute period has ended, as shown in your seller account. We pay it to the verified bank account or Raast ID in your name or your business name.
- What we deduct. Fees, refunds you must bear, delivery costs that are your responsibility, amounts you owe us (including commission on cash on delivery Orders), taxes that we must withhold, and any other amount this Agreement allows.
- Holds. We may delay or hold a Payout, in whole or in part, while a dispute, complaint, return, refund, chargeback or investigation is open, while we verify you or your documents, where we suspect fraud or a breach, or where the law or an authority requires. For a new or not fully verified seller, we may apply a longer payout period.
- Set-off. We may set off any amount you owe us against any amount we owe you, from any Order or account.
- If you owe us more than you are owed. You must pay the difference when we ask. We may charge reasonable collection costs and take legal steps to recover it.
- Wrong details. We are not responsible for a Payout that goes to wrong bank details that you gave us. Keep them correct.
10. Returns, cancellations and complaints
- You must accept and handle returns, exchanges and refunds in line with our Cancellation Policy, our Returns and Refunds Policy and the law, and you must not refuse a return that those rules require you to accept.
- Respond to Buyer questions and complaints, and to our requests, promptly, and in any case within the time we set in the request.
- If there is a dispute between you and a Buyer, we may look at the evidence, ask both sides for information, and decide how to resolve it, including by refunding the Buyer and recovering the cost from you under section 7. Keep your own records, such as photos of the goods when packed, proof of dispatch and messages.
- Our decision about a dispute is made to keep the marketplace fair. It does not limit any right that you or a Buyer has under the law.
11. Service standards
We may monitor how you perform, for example how quickly you accept and ship Orders, how often Orders are cancelled or returned, the accuracy of your Listings, how quickly you respond, Buyer ratings and complaints, and whether your status updates are true. If your performance is poor, or you break this Agreement, we may warn you, limit your Listings or features, delay Payouts, lower your visibility, or suspend or close your account.
12. Registrations, licences and compliance with the law
You must follow every law that applies to you and your goods, including tax, consumer protection, product safety, labelling, advertising, import and customs laws, and the rules of the competent authorities. This applies whether you sell as an individual or as a registered business. In particular:
- you must hold every registration, licence, certificate and permission that the law requires for you and your goods, and show them to us when we ask;
- you must not claim to be registered, licensed, certified or authorised if you are not, and you must not use fake or altered documents;
- you must tell us promptly if a registration or licence is cancelled, suspended or expires; and
- you are responsible for any fine, tax, penalty or other consequence that arises from your lack of a registration or licence, or from the goods you sell, as set out in section 8 of our Terms & Conditions.
Where the law requires, we may share seller information with tax and other competent authorities, and we may cooperate with their requests.
13. Prohibited items and conduct
- The list of prohibited items and conduct in section 10 of our Terms & Conditions applies to every seller.
- You must not post or arrange fake or paid reviews, review your own Store or a competitor's, or manipulate ratings, rankings or promotions.
- You must not use the Platform to find Buyers and then complete the sale outside it in order to avoid Fees, and you must not ask Buyers to cancel an Order so that they can buy from you directly.
- You must not misuse Buyer information, harass Buyers or other users, or contact Buyers for marketing without their agreement.
14. Buyer data and privacy
You will receive Buyers' names, delivery addresses, mobile numbers and order details. You may use them only to fulfil the Order, to handle returns and complaints, and to keep the records that the law requires. You must keep them secure, not share or sell them, and not use them for marketing unless the Buyer has agreed. When you no longer need them, delete them, unless the law requires you to keep them. You must follow our Privacy Policy and tell us straight away if you suspect that Buyer information has been lost, stolen or misused. A seller who misuses Buyer information may be suspended.
15. Intellectual property and licence
- You keep the ownership of your Seller Content. You give us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, adapt for formatting, translate and distribute it on and for the Platform, including in search, marketing and sharing features, for as long as it is on the Platform and for a reasonable time afterwards for records and backups.
- You promise that your Seller Content and the goods you sell do not infringe anyone's rights, and that you have any brand authorisation you need.
- The Platform and its names, logos and software belong to us or our licensors. You may use our name only as we allow.
- We handle complaints about infringement as set out in section 12 of our Terms & Conditions. We may remove disputed Listings and suspend repeat infringers.
16. Promotions, advertising and coupons
If you take part in advertising, promotions or coupon features, the rules and prices shown for that feature apply. A discount or coupon that you set is funded by you unless the feature says otherwise. We may refuse, remove or end a promotion that is misleading, unlawful or breaks our rules, and we are not responsible for the results of any promotion.
17. Suspension and ending this Agreement
- By you. You may close your seller account at any time, after you complete open Orders and pay what you owe.
- By us. We may warn, limit, suspend or close your seller account, remove Listings, or hold Payouts, if you break this Agreement, our Terms or the law, if we reasonably suspect fraud or abuse, if you cannot show the registrations or documents we ask for, if the law or an authority requires it, or if your account has been inactive for a long time. Where it is reasonable and safe to do so, we will tell you why.
- What happens next. You must still complete or hand over open Orders as we direct. We will pay what we owe you, after deducting what you owe us, once the dispute and return periods for your Orders have ended. We may keep information as the law requires.
- What continues. The parts of this Agreement that by their nature should continue, such as payment, set-off, liability, indemnity, data, intellectual property and dispute terms, continue after the Agreement ends.
18. Disclaimers, liability and indemnity
- Sections 18, 19 and 20 of our Terms & Conditions (disclaimers, limits on our liability, and indemnity) apply to this Agreement. Nothing excludes liability that the law does not allow us to exclude.
- We do not promise any level of sales, traffic, income or profit, and we are not responsible for lost sales or profits, or for any loss that arises from the Platform being unavailable.
- Our total liability to you under or in connection with this Agreement is limited to the Fees that you paid us in the 12 months before the event that gave rise to the claim.
- You agree to compensate us, our owners, officers, employees and agents for losses, claims, fines, costs and reasonable legal fees that arise from your goods or services, your Listings and Seller Content, your breach of this Agreement or the law, your lack of a registration or licence, or your dealings with Buyers.
19. Changes to this Agreement and to Fees
We may change this Agreement, our policies, plan limits and Fees, for example to reflect new features, business needs or changes in law. For a material change that affects your rights, including a change in Fees, we will give at least 14 days' notice by e-mail, in your seller account or on the Platform, unless the change must take effect sooner for legal or security reasons. The version number and dates at the top of this page show which version applies, and the document history lists earlier versions. If you do not accept a change, you may close your seller account before the change takes effect. If you continue to sell after it takes effect, you accept the change. Fees that apply to an Order are those that applied when the Order was placed.
20. General terms and governing law
- Governing law and courts. This Agreement is governed by the laws of Pakistan, and the courts of Lahore, Pakistan have exclusive jurisdiction over disputes arising from it, in the same way as set out in section 21 of our Terms & Conditions. Nothing in this Agreement limits any right that a Buyer has under consumer protection law.
- Entire agreement. This Agreement, our Terms & Conditions and the policies they refer to are the whole agreement between you and us about your selling.
- If part is invalid. If a part of this Agreement is found to be invalid, the rest continues to apply, and the invalid part is replaced by a valid one that comes closest to its purpose.
- No waiver. If we do not enforce a right straight away, we have not given it up.
- Transfer. You may not transfer this Agreement without our written consent. We may transfer it to a successor of the business or to a group company, with notice to you.
- Events beyond control. Neither of us is responsible for a delay or failure caused by events outside our reasonable control, but this does not excuse a payment that is due.
- Language. The English version is the official one. A translation, for example in Urdu, is for convenience.
